These Terms of Service (“Terms”) govern your access to and use of the Site, and any creative, design, branding, marketing, or related services (the “Services”) we provide. By accessing the Site or engaging our Services, you (“you,” “Client,” or “User”) agree to be bound by these Terms.

1. Use of the Site
You agree to use the Site only for lawful purposes and in compliance with these Terms. You may not:

Engage in unauthorized access or data collection (scraping, crawling, etc.)

2. Engagement of Services
Specific project scope, deliverables, timelines, fees, and payment terms will be set out in a separate Statement of Work, proposal, or signed agreement (a “Project Agreement”) between the Agency and the Client.
Where these Terms conflict with a signed Project Agreement, the Project Agreement governs for that project.
We may decline or discontinue a project engagement at our discretion, including for non-payment, unlawful requests, or breach of these Terms.
3. Fees and Payment
Fees for Services are specified in the applicable Project Agreement or invoice.
Unless otherwise agreed in writing, invoices are due within [Insert Number] days of the invoice date.
We may pause or halt work on any project with an overdue balance.
4. Intellectual Property
All content on the Site, including text, graphics, logos, and software, is the property of OurSecretLab Limited and is protected by copyright and trademark laws. You may not reproduce, modify, or distribute any content without prior written consent.
Client Materials: Materials, content, trademarks, or data provided by the Client remain the Client's property. The Client warrants it has the right to provide such materials and grants us a licence to use them solely to perform the Services.
Deliverables: Unless otherwise specified in a Project Agreement, ownership of final project Deliverables transfers to the Client upon full payment of all outstanding fees.
Agency Retained Materials: We retain ownership of our pre-existing tools, templates, frameworks, and know-how used in creating Deliverables, and may reuse general skills and techniques developed during an engagement.
Portfolio Rights: Unless the Client requests otherwise in writing, we may display completed work in our portfolio, Site, and marketing materials for promotional purposes.
5. Revisions and Approvals
Project Agreements may specify a set number of revision rounds; additional revisions beyond this scope may incur further fees. The Client is responsible for reviewing and approving Deliverables in a timely manner, and delays in feedback may affect project timelines.
6. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during an engagement, using it only for the purposes of the project, except as required by law.
7. Service Availability
We strive to keep our Site accessible but do not guarantee uninterrupted service. We reserve the right to modify or discontinue any part of the Site at any time without notice.
8. Limitation of Liability
To the fullest extent permitted by law, OurSecretLab Limited is not liable for any damages arising from your use of the Site or Services, including but not limited to:
Loss of data or business opportunities
Service interruptions or security breaches
Third-party actions beyond our control
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death, personal injury, or fraud.
9. Third-Party Services
Our Site may include links to third-party services. We do not endorse or take responsibility for these external sites or their content. The Client is responsible for any licensing fees or terms associated with third-party materials (e.g. stock assets, fonts, plugins) incorporated into Deliverables, unless otherwise agreed.
10. Indemnification
You agree to indemnify and hold harmless OurSecretLab Limited, its affiliates, and employees from any claims, damages, or expenses arising from your violation of these Terms.
11. Termination
Either party may terminate a Project Agreement in accordance with its terms. Upon termination, the Client shall pay for all work completed up to the termination date. Provisions relating to Intellectual Property, Confidentiality, and Limitation of Liability survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be resolved in the appropriate courts.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
